Background

At the national convention in June, 2003, the Coordinating Committee approved a
proposal from the existing Green Officeholders Network to create Bylaws
affiliating their organization of Greens holding elective office with the GPUS,
based on a proposal consensed to by an Officeholders’ task force created for
that purpose.

The proposal was referred to the Bylaws, Rules, Policies and Procedures
Committee to work out a set of Bylaws, to be forwarded to the Finance and
Coordinated Campaign Committees for review. Upon acceptance by all committees
involved and the officeholders themselves, the Green Officeholders Network
proposal was to be sent to the Coordinating Committee for approval.

Upon approval of these bylaws and rules by the CC, the Green Officeholders
Network shall be granted status as an official GPUS Network.

The bylaws and rules for the Green Officeholders Network have been written so as
to fit general criteria for Networks if and when such a bylaw amendment is
introduced. Upon approval of these bylaws and rules by the CC, and until such
time at which such an amendment may be approved, the Green Officeholders Network
shall be considered a unique entity within the structure of GPUS.

PURPOSE: The purpose of the Green Officeholders Network is to bring Greens
holding elective office and the State Green Parties closer; and to foster the
interconnection of the Green officeholders themselves, with GPUS staff support.

Proposal

BYLAWS

NETWORK: The body comprising the Green officeholders shall be considered a
Network within the GPUS structure.

NETWORK REPRESENTATION ON THE COORDINATING COMMITTEE: The Green
Officeholders Network may elect one nonvoting representative and one
alternate to serve on the GPUS Coordinating Committee.

NETWORK REPRESENTATION ON OTHER GPUS COMMITTEES: The Green Officeholder
Network may elect one nonvoting representative and one alternate on any
standing GPUS committee except the Coordinated Campaign Committee and the
Steering Committee.

NETWORK REPRESENTATION ROLE ON NATIONAL COMMITTEES: Green Officeholder
Network representatives on GPUS Committees, including the Coordinating
Committee, will be considered nonvoting members of a committee, but will
have all other rights on the committee as other committee members. Network
representatives may participate in the committee deliberative process, but
can neither vote nor force a vote on an outstanding concern.

CHOOSING REPRESENTATIVES AND ALTERNATES There will be separate votes to
select the Networks representative and alternate. Election shall be by
instant runoff voting. Length of term for both representative and alternate
shall be one year.

NUMBER OF REPRESENTATIVE POSITIONS ONE CAN HOLD: A person can hold no more than one
committee nonvoting position, but can also be a nonvoting alternate on
another GPUS committee.

HOLDING A NON-VOTING MEMBERSHIP POSITION ON A COMMITTEE AND ON THE
COORDINATING COMMITTEE: A person can represent the Green Officeholders
Network as a nonvoting member of a committee and still serve on other
committees as a voting member if so designated by their state party.

FUNDING: All monies raised for the Green Officeholders Network, including funds
designated for Green Officeholders’ Network use, staff salaries or stipends,
shall be routed through the GPUS Treasurer, who shall be responsible for FEC
filings. All checks written to the Green Officeholders Network shall be sent
to the GPUS Treasurer. The Green officeholders’ Network and individuals or
groups raising funds for, or in the name of, the Green Officeholders’ Network,
shall provide timely, true and complete information to the GPUS treasurer as may
be necessary to complete all required filings associated with these monies.

FUNDRAISING: The Green Officeholders Network may conduct its own
fundraising. The Green Officeholders Network may also choose to
coordinate fundraising efforts with the GP-US.

Should the Green Officeholders Network and the GP-US pursue coordinated
fundraising efforts, they may voluntarily create memorandums of
understandings to govern those efforts.

DESIGNATED ACCOUNT: There will be a dedicated account established by the
GP-US, for the funds that the Green Officeholders Network raise. That
account will be overseen and supervised by the GP-US Treasurer.

A Memorandum of Understanding between the GP-US and the Green
Officeholders Network will establish a simple and straightforward
system, by which the Green Officeholders Network may access those funds.

STAFF: Given sufficient funds, the Green Officeholders Network may employ staff.
They shall follow all of the personnel policies of the GPUS. Any hires using
resources allocated by the GPUS to the Office Holders Network shall be
contingent on the approval of the GPUS SC. Hires using resources raised
entirely by the network shall not be subject to approval by the GPUS SC.

The Green Officeholders Network and the GP-US Personnel Committee shall
develop a consultative process on staff hiring. The Green
Officeholders Network and the GP-US may voluntarily create memorandums
of understandings to govern this process.

For the purposes of legal liability and indemnification, Green
Officeholders Network staff shall be considered as employees of the GP-US.

A version of standard GP-US personnel contract shall be used for Green
Officeholders Network staff, modified to meet the particular needs of
the position.

RULES & PROCEDURES

NETWORK MEMBERSHIP: Membership of the Green Officeholders Network shall
be open to all Greens holding elective office, as specified in the
official Coordinated Campaign Committee list of Green Officeholders
(which as of 1/2004, is listed on www.greens.org/elections), and may
extend up to one year past when an officeholder leaves office. Disputes
as to the status as a Green Officeholder of an individual shall be
handled in accordance with CCC rules and procedures.

Only those Green officeholders who indicate their desire to join the
Network shall be considered members. A transparent and predictable
outreach/joining process shall be established, although eligible members
are free to join at any time.

VOTING AND ELECTIONS: The on-line instant runoff voting process in use by
the GPUS Coordinating Committee at the time of any Green Officeholders
Network election shall be used to select representatives or alternates.
